David Shapiro is the Chair of Paley Rothman's Health Law practice group, and a member of the firm's Corporate, Science & Technology, Employment Law and Government Contracts practice groups. David has an extensive background representing business entities, healthcare providers, surgical centers, professional service vendors and entrepreneurs in a broad range of general business, commercial, regulatory and complex transactional matters, including early-stage business planning, business management and operations, equity and asset transfers, inter- and intra-business contract relationships, mergers and acquisitions and collaborative and adversarial business owner and proxy dispute resolutions.
David’s business practice focuses on full life-cycle representation for emerging and established business entities. He counsels business clients on matters including the structuring, restructuring, operation and sale of privately held businesses, commercial lease negotiation, alcoholic beverage regulations applicable to the restaurant and night club industry, the structure and negotiation of executive employment relationships and collaborative and adversarial business break-ups and dispute resolution. David frequently represents clients in the development, licensing and transfer of business-critical assets and technology.
David’s health law practice focuses on counseling individual physicians, physician groups, surgical centers and healthcare-related businesses about health care business operations, regulatory compliance and the structuring of successful owner/executive relationship and employment models. He has wide-ranging experience working with physician groups on the structuring and negotiation of multi-specialty and multi-entity business transactions, including the formation of stand alone and captive physical therapy groups, private and group-based ambulatory surgical centers, independent and captive anesthesia provider groups and major medical equipment operators.
